X5 Retail Group N.V.

X5 Retail Group is Russia’s largest retailer in terms of sales volumes. The company was created as a result of a merger between Pyaterochka (soft discounter chain) and Perekriostok (supermarket chain) on May 18, 2006. In June 2008, X5 Retail Group acquired the Karusel hypermarket chain and substantially strengthened its position in the hypermarket format.

The group has grown from one supermarket in Moscow in 1995 to 1,217 stores as of September 30, 2009, including 952 soft discount stores, 210 supermarkets and 55 hypermarkets located in 42 cities in Western Russia, the Urals and Ukraine with net selling space totaling roughly 963,000 m2. In addition, as of September 30, 2009, X5 Retail Group’s franchisees operated 586 stores across Russia.

In 2008, X5 Retail Group’s pro-forma net revenues totaled $8,892 mln, EBITDA reached $803 mln and net income, adjusted for non-cash goodwill impairment charge, amounted to $112 mln. In 9m09, net revenues totaled $6,081 mln, EBITDA reached $509 mln, and net income amounted to $121 mln.

X5 Retail Group’s shareholder structure is as follows: Alfa Group 47.9%; Pyaterochka founders 23.1%; X5 Retail Group management 1.9%; treasury shares 0.1%; free float 27.0%.
